1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and the operating company (registration pending) ("Elevenio," "we," "us," "our"), governing your use of the Elevenio platform, website, and applications (the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility and accounts

You must be at least 18 years old to create an independent account. Users under 18 may access designated courses only through a parent or guardian account, as described in our Privacy Policy. Teachers must provide accurate identity, tax, and payout information and keep it current. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at support@elevenio.com if you suspect unauthorized access.

3. Our services

Elevenio offers three products:

1. Learning marketplace: teachers list recorded courses and live classes for sale; students purchase and access them.
2. AI CV generator: an AI-assisted tool that helps format and generate CV content from data you upload.
3. AI voice interviewer: a tool that records your responses to interview questions, transcribes them, and generates AI feedback.

We may add, modify, or discontinue features at our discretion, with reasonable notice for material changes affecting paid features.

4. Marketplace terms

4.1 Our role

Elevenio operates as an intermediary platform connecting teachers and students. Teachers are independent contractors, not employees or agents of Elevenio. We do not guarantee the quality, accuracy, or outcome of any course, and we are not a party to the underlying teaching relationship beyond facilitating the transaction and providing the technical platform.

4.2 Teacher obligations

Teachers must own or hold the necessary rights to all content they upload, ensure course content is accurate and not misleading, comply with applicable law including consumer protection and tax obligations in their jurisdiction, and maintain professional conduct with students. Elevenio may review, and may remove, any course that violates these Terms or applicable law.

4.3 Student access

Purchasing a course grants a personal, non-transferable license to access the content for your own learning use. You may not download, redistribute, resell, or publicly share course content unless the teacher explicitly permits it.

4.4 Commission and payouts

Elevenio charges a 20% commission on the gross price of each course or live class sold, deducted before payout. Teacher payouts are made on a recurring schedule disclosed in the teacher dashboard, subject to a minimum payout threshold and any applicable processing fees from our payment provider, Tap Payments. Teachers are responsible for their own tax reporting and payment of applicable taxes, including VAT where their activity meets the registration threshold under UAE or KSA law. Elevenio may withhold or reverse a payout where a transaction is disputed, refunded, subject to a chargeback, or under fraud review.

4.5 Refunds

Refund eligibility differs by product type, because recorded courses and live classes are digital content and services that are typically consumed at the point of access:

• Recorded courses: eligible for a full refund if requested within 7 days of purchase and less than 20% of the course has been viewed. Requests outside this window are handled at our discretion.
• Live classes: eligible for a full refund if the teacher cancels or reschedules and the new time does not work for you, or if you cancel at least 24 hours before the scheduled start. Cancellations within 24 hours of a live class are not eligible for a refund, except where required by law.
• Digital content already fully downloaded or completed is not eligible for refund, consistent with standard digital content exceptions to general consumer return rights.

Nothing in this section limits any non-waivable refund or return right you have under UAE Federal Law No. 15 of 2020 on Consumer Protection, Federal Decree-Law No. 14 of 2023 on Trading through Modern Technology, or equivalent mandatory law in your jurisdiction. Confirm the interaction between this refund policy and the statutory 14-day return right for digital content and services before publication.

4.6 Disputes between teachers and students

We may, at our discretion, help mediate disputes about course quality, access, or delivery, but we are not obligated to resolve every dispute and our decision on a refund or account action is final absent legal requirement otherwise.

5. AI CV generator terms

You are responsible for the accuracy of the information you upload and for reviewing the AI-generated CV before using it in any job application. The AI CV generator produces suggested formatting, phrasing, and structure based on the data you provide; it does not verify facts, credentials, or claims, and it does not guarantee any job outcome, interview, or offer. 6. AI voice interviewer terms

Before any recording session, you must give separate, explicit consent under our Recording Consent Notice. The AI voice interviewer generates feedback and scoring based on your recorded responses; this feedback is guidance only and is not, and must not be treated as, a hiring decision, an employment reference, or a professional assessment. 7. AI features generally

All AI-generated content on the Platform, including CV suggestions, interview feedback, and scoring, is produced automatically and may be inaccurate, incomplete, or unsuitable for your specific situation. You remain solely responsible for any application, communication, or decision you make based on AI output. Our AI Disclaimer, incorporated into these Terms by reference, sets out these limits in full.

8. Payments

Payments are processed through Tap Payments, including Apple Pay where available. By making a purchase, you authorize us and our payment processor to charge your selected payment method for the applicable amount, including any taxes. Prices are shown in the currency displayed at checkout and may include VAT where applicable under UAE or KSA law. We are not responsible for delays or failures caused by your bank, card issuer, or payment provider.

9. Acceptable use

You agree not to:

• Upload unlawful, infringing, defamatory, or harmful content.
• Impersonate any person or misrepresent your identity or qualifications.
• Use the Platform to scrape, resell, or redistribute content without authorization.
• Attempt to bypass security measures, reverse-engineer the Platform, or interfere with its operation.
• Use the AI voice interviewer or AI CV generator to generate content for someone other than yourself without their knowledge and consent.
• Use the Platform for any unlawful purpose or in violation of UAE, KSA, or applicable Gulf state law.

We may suspend or terminate accounts that violate this section.

10. Intellectual property

The Platform, its software, design, and branding are owned by the operating company (registration pending) or its licensors. Teachers retain ownership of their course content but grant Elevenio a license to host, stream, and display it to facilitate sales. You retain ownership of your CV content and interview recordings, subject to the processing rights described in our Privacy Policy.

11. Disclaimers

The Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, or that AI outputs will be accurate or fit for any particular purpose. We do not guarantee employment outcomes, course completion outcomes, or income for teachers.

12. Limitation of liability

To the maximum extent permitted by law, the operating company (registration pending) is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost opportunities, or lost employment outcomes, arising from your use of the Platform. Our total liability for any claim relating to the Platform is limited to the amount you paid us in the 12 months before the claim arose. This limitation does not apply where prohibited by law, including in cases of willful misconduct or gross negligence.

13. Indemnification

You agree to indemnify and hold the operating company (registration pending) harmless from claims arising out of your breach of these Terms, your content, or your misuse of the Platform, to the extent permitted by law.

14. Termination

You may close your account at any time. We may suspend or terminate your account for violation of these Terms, non-payment, fraud, or legal requirement. Sections that by their nature should survive termination, including payment obligations, intellectual property, disclaimers, and limitation of liability, survive.

15. Governing law and disputes

For the current period of operation, these Terms are governed by the laws of the United Arab Emirates, and any dispute is subject to the exclusive jurisdiction of the onshore courts of the applicable emirate, United Arab Emirates. If our operating entity transitions to Saudi Arabia in year two, this section will be updated to reflect KSA governing law and jurisdiction, and we will notify users of the change.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide notice through the Platform or by email. Continued use after changes take effect constitutes acceptance.
